1. Acceptance of Terms

By installing and using the dForts Copilot Readiness Monitor (the "Product"), you agree to be bound by these Terms of Use.

2. License and Restrictions

dForts grants you a non-exclusive, non-transferable subscription to use the Product within your Microsoft 365 tenant, subject to the terms of your purchased plan (Standard or Premium).

3. Remediation Actions

The Product provides features to modify SharePoint permissions (e.g., "Remove Access" or "Restore Inheritance"). The user is solely responsible for any data access changes resulting from these actions. dForts shall not be liable for any unintended loss of access or data availability caused by user-initiated remediation.

4. Accuracy and Technical Dependency

The Product functions as a diagnostic tool that relies on Microsoft Graph and SharePoint Online APIs. While dForts implements industry-leading detection patterns, the completeness of the results is subject to the real-time availability and response accuracy of Microsoft's infrastructure. The Product is intended to assist in security assessments, but final remediation decisions remain the responsibility of the organization's IT administrators.

5. Billing and Cancellation

Subscriptions and billing are managed through the Microsoft Commercial Marketplace. Cancellations and refunds are subject to Microsoft's standard SaaS policies. Any changes to the subscription price will be notified to current subscribers with a minimum of six (6) months' advance notice.

6. Product Lifecycle and Termination

dForts reserves the right to discontinue the Product or any of its features by providing a six (6) month advance notice to current subscribers. Notwithstanding the foregoing, in the event that dForts ceases its legal existence as a business entity, undergoes liquidation, or becomes insolvent, the Product may be discontinued immediately without prior notice.

7. Update Policy

dForts provides periodic updates to maintain the Product's compatibility and security. dForts' sole commitment regarding updates and technical support is to address serious issues that significantly affect the core operation and functionality of the Product. dForts does not guarantee the implementation of new features, minor enhancements, or support for non-critical issues.

8. Microsoft Updates and Compatibility

In the event that Microsoft releases updates or changes to its infrastructure that affect the Product's functionality, dForts will make reasonable efforts to maintain service continuity. Should a disruption occur, dForts will work toward a resolution within a timeframe commensurate with the magnitude and complexity of the required changes, provided the Product has not been discontinued.

9. Corporate Identity

dForts reserves the right to change its corporate name or brand identity without prior notice, provided that such change does not involve any modification to the service provided or the terms of this agreement.

10. Scope of Technical Support

dForts is not obligated to provide technical support for issues, errors, or service interruptions that are caused by or exclusive to the Customer's specific environment, internal security policies, or tenant configuration. Technical support is strictly limited to the core operation of the Product as delivered to all subscribers. Maintenance of the Customer's Microsoft 365 tenant remains the sole responsibility of the Customer.
